Terms of Service

These Terms govern your access to and use of the Services. By using the Services you agree to these Terms, the Acceptable Use Policy, the AI Usage Policy, and — during the beta — the Beta Program Terms. If you use the Services for an organization, you represent that you may bind it.

These definitions are canonical and shared by every Auric legal document. No document may redefine them.

• "Services" — the Auric website (auric.cx), application, CLI, waitlist and beta programs, and related services that link to these documents.
• "Application" — the Auric software running on your device.
• "Workspace" — a project surface registered by the CLI; in beta, owned by exactly one user. Auric stores its metadata (name, slug, repo remote, repo name), not its contents.
• "Project Data" — content the Application manages on your device: code references, notes, documentation, and related material. Not stored on Auric's servers.
• "Operational State" (or "Operational Memory") — the deterministic project and session state the Application preserves locally in place of chat history. Not uploaded to Auric.
• "Account" — Auric's identity record for a user, created on first GitHub sign-in and keyed to a stable GitHub numeric id.
• "Session" — a CLI or web authentication session (an opaque bearer token, of which only a hash is stored) or, by context, an analytics session identifier.
• "AI Provider" — a third-party or local model service you configure and invoke (for example Anthropic, OpenAI, Google, or a local model). Auric is not an AI Provider.
• "Generated Output" — content returned by an AI Provider in response to your invocation; ownership and use are subject to that provider's terms.
• "User Content" — Project Data, notes, prompts, and other material you create or supply. You own it.
• "Telemetry" — diagnostic, crash, performance, and usage signals.
• "Feedback" — suggestions, bug reports, and ideas you submit about the Services.
• "Confidential Information" — non-public information disclosed in the beta, such as unreleased features, roadmap, and invite mechanics.

You must be at least [FD-014] years old and not barred under applicable law or our operating-region limits [FD-005]. The Services are professional developer tools and are not directed to children.

Accounts are created via GitHub sign-in through WorkOS. You are responsible for activity under your Account and for keeping your device and credentials secure. Sessions use opaque tokens (only a hash is stored) and can be revoked at any time.

You retain all rights to your User Content, Project Data, and Operational State. Auric claims no ownership. Project Data and Operational State are designed to remain on your device; Auric stores only limited Account and Workspace metadata (name, slug, repo remote, repo name) [IA-004]. You grant Auric only the limited license needed to operate the Services for you.

Auric is not an AI Provider; it orchestrates requests you explicitly make to providers you configure. When you invoke AI, content you choose is sent to that provider [IA-003] and governed by that provider's terms and privacy policy. Auric does not control, and is not responsible for, Generated Output or a provider's processing. You are responsible for reviewing and validating Generated Output before relying on it. Your use must comply with the Acceptable Use Policy. We may suspend or terminate access for violations, security risk, or legal requirement.

The Services are experimental. Features may change, break, or be withdrawn; data loss is possible; and there is no SLA, uptime guarantee, or production-readiness representation. Access is by invitation and may be revoked [FD-016]. See the Beta Program Terms.

The beta is provided free of charge, and no payment or card data is collected in the beta (no billing system exists). Paid plans, if introduced, will be governed by separate terms presented before any charge.

[FD-010] Option A (recommended for beta): you grant Auric a perpetual, worldwide, royalty-free license to use Feedback to improve the Services, without obligation or attribution. Option B: Feedback remains yours, and Auric may use only aggregated, non-attributable learnings. The selected option applies identically in the Beta Program Terms.

The Services, Application, brand, and site content are owned by Auric or its licensors. These Terms grant you a limited, revocable, non-transferable, non-exclusive license to use the Services during the beta.

The Services interoperate with GitHub, WorkOS, AI Providers, and infrastructure providers, each governed by its own terms. Auric is not responsible for third-party services.

[FD-018] The Services are provided "as is" and "as available," without warranties of any kind — express, implied, or statutory — including merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or that the Services are error-free or secure. AI output may be inaccurate; you assume responsibility for its use.

[FD-018] To the maximum extent permitted by law, Auric is not liable for indirect, incidental, special, consequential, or exemplary damages, or for lost data, profits, or goodwill. Auric's aggregate liability will not exceed the greater of [FD-018] or the amounts you paid in the prior 12 months (currently zero in beta). Some jurisdictions do not allow certain limits, which may not apply to you.

You will indemnify Auric against claims arising from your User Content, your use of the Services or AI Providers, or your violation of these Terms or law — except to the extent caused by Auric.

Either party may terminate at any time. You may stop using and uninstall the Application; local data is deleted by you. We may suspend or terminate for cause or legal reason. Sections 5, 6, 10–15, and 17–19 survive.

We may update these Terms; material changes are notified per [FD-016] and take effect on the stated date. Continued use constitutes acceptance.

[FD-003] These Terms are governed by the laws of [FD-003], with venue in [FD-003], without regard to conflict-of-laws principles and without limiting non-waivable statutory rights (for example under the GDPR, UK GDPR, DPDP Act, or CCPA/CPRA).
